Issue new shares and file the SH01

When a company issues new shares it must file a return of allotment. Tell us who received what, and on which terms, and we review and file the SH01 for you.

Who needs it and when it is due

A return of allotment (SH01) is filed whenever a limited company with share capital allots new shares, for example when a new investor or director takes shares. It must reach Companies House within one month of the allotment.

Issuing shares is a company decision. Directors need authority to allot, and existing shareholders may have pre-emption rights, so check your articles and any shareholders' agreement first. We file the return and do not give legal advice on the allotment.

What we file for you

  • The SH01 return of allotment, with the allotment date
  • Share class, number of shares and nominal value
  • The amount paid and any amount unpaid on each share
  • The rights attached to a new class of share
  • A summary to check, and your capital record updated on acceptance

[email protected] Message our team
How long do I have to file?

One month from the allotment date.

Do I also need to update my own records?

Yes. Your register of members and share certificates must be updated. We file the return with Companies House.

What about transferring existing shares?

A transfer is not an SH01. See our transfer of shares service.

My company was not formed with Sure Formation. Can you still file for it?

Yes. Add the company to your account with its company number and Companies House authentication code, then start the filing from the company page. The authentication code is your proof of authority to file.

Do I need to be signed in?

Yes. Filings are made from your account so your answers, declarations and documents stay private. If you are signed out you are asked to sign in and are then brought back.
